HFS Projects has bought the business and assets of the Cirencester plant and has taken on all 85 staff, except managing director Tony Hall who left upon completion of the deal.
Steel will now act as managing director of the business while Scanlon's involvement is that of "investor".
BDC, the name of which is likely to be changed, does not form part of Wace or Thomas Potts and will be run separately. It is understood Scanlon and Steel are on the lookout for further complementary buys.
Brann is part of French media group Havas and the sale of BDC is part of a divestment of non-core businesses announced by the group last year.
