Inc Solutions was incorporated on 3 April 2009. However, directors Chris Smith and Clifford Warman, who were the directors at 4Cilities, resigned as directors of the company on 2 May 2009. The same day Ian Custance, Delyth Davies-Warman and Peter Smith were appointed to the company.
According to Chris Smith, he and Warman are still involved but only on the sales side, while the three new directors, who he said were not previously involved at 4Cilities, form the new board.
According to 4Cilities, the company had no choice but to go into administration and re-emerge, after attempts to renegotiate a lease on a press were unsuccessful.
Sales manager Chris Smith explained: "After many meetings and communications lasting approximately six months, it became apparent to us that unfortunately they [the supplier] couldn't offer us an attainable solution for moving the business forward with them on board.
"With no agreement being found, the machine supplier decided the best option would be to terminate the contracts with immediate effect and demand from us payment in full of the entire contract – an extremely large amount of money.
"Obviously, in this environment, that was out of the question. The timing seemed right, fresh start etc, to introduce Print Logic Litho Print in Orpington and create a new digital and litho printing partnership called Inc Solutions."
Paul Clark and Geoffrey Bouchier at MCR Corporate Restructuring were appointed joint administrators on 19 May 2009. The company was sold the same day with 25 jobs being retained.
Clark said: "The sale represents the best possible outcome for the employees and creditors of 4Cilities during a difficult time for the print industry."
4Cilities' Smith expressed regret at the situation and said that leaving suppliers exposed was deeply regrettable.
He added: "The actual outcome for Inc Solutions, Print Logic and our combined customers has been nothing but positive and inspiring for us all.
"In the new partnership business is booming and all of our clients are delighted that we can now offer litho to the same extremely high standards as our proven digital printing services."
