Aurelius to make part-payment to Agfa this week

Agfa had sales of €1.14bn last year

The long-running payment wrangle between Agfa and ECO3 purchaser Aurelius Group continues to rumble on, with Agfa set to receive part of the still-outstanding €31.4m (£26.2m) this week.

Private equity firm Aurelius agreed to acquire Agfa’s Offset Solutions division in August 2022 in a €92m deal. The complex carve-out finally completed in April 2023 and the business was rebranded as ECO3.

Offset Solutions had been Agfa’s biggest business unit, with sales of just under €780m at the time.

At Agfa’s 2024 financial year-end the outstanding receivable owed due to the purchase price adjustment was €31.4m, with Aurelius disputing €19.1m of that figure.

The matter is being examined by an independent expert.

Agfa has now announced that Aurelius has agreed to pay €5.9m by 4 April “while the remaining €5.9m of the undisputed part stays outstanding for the time being”.

When the independent expert renders her decision, the other €5.9m of the undisputed part as well as the disputed part of the outstanding receivable – for the amount so determined by the independent expert – will become due.

Agfa had sales of €1.14bn last year.
